1. Acceptance of Terms

By accessing or using DriveYo.ai (the "Platform"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Platform.

2. Regulatory Status

DriveYo LLC is a licensed used motor vehicle dealer and broker in the State of California.

However, unless expressly stated in a separate written agreement:

• Use of the AI Platform does not create a broker-client relationship.
• Use of the AI Platform does not constitute dealer representation.
• Use of the AI Platform does not create fiduciary duties.
• Licensed dealer or broker services require a separate written agreement and DMV-compliant disclosures.

3. Nature of the AI Platform

The DriveYo AI Platform provides:

• VIN-based pricing analysis
• Lease and finance payment estimates
• Incentive modeling
• Negotiation strategy simulations
• Informational comparisons

The Platform provides informational tools only. It does not:

• Sell vehicles through the AI interface
• Issue binding offers
• Approve financing
• Guarantee incentives
• Execute contracts

All vehicle transactions occur directly between users and licensed dealers or lenders unless otherwise agreed in writing.

4. Pricing & Incentive Disclosures

Location-Based Estimates

Payments, taxes, fees, and pricing are estimates and may vary based on:

• California state taxes
• Alameda County and local tax rates
• DMV registration/title fees
• Dealer documentation fees
• Regional incentives
• Credit profile

Final pricing is determined by the selling dealer.

Incentives & Rebates

Any displayed incentives:

• Assume customer qualification
• May expire or change without notice
• Are determined by manufacturer and lender program rules

DriveYo does not guarantee eligibility.

Informational Calculations

All calculations are:

• Algorithmic estimates
• Based on public, third-party, and user-provided data
• Non-binding
• Subject to change

DriveYo does not guarantee completeness or accuracy.

5. AI & OCR Disclaimer

The Platform may use:

• Artificial intelligence
• Machine learning
• Optical Character Recognition (OCR)
• Third-party data feeds

AI outputs may contain inaccuracies. Users are responsible for independently verifying:

• Dealer quotes
• Residual values
• Money factors
• APR rates
• Incentives
• Taxes and fees

DriveYo is not liable for errors arising from AI-generated outputs.

6. No Financial or Credit Advice

DriveYo does not:

• Provide credit repair services
• Guarantee loan approval
• Act as a finance lender
• Provide financial, legal, or tax advice

All financing decisions are made by licensed lenders.

7. No Automatic Broker Representation

Use of the Platform does not:

• Create agency authority
• Authorize negotiation on your behalf
• Establish fiduciary duties

Broker services, if offered, require a separate written agreement.

8. Limitation of Liability

To the maximum extent permitted by California law, DriveYo shall not be liable for:

• Financial losses
• Incentive ineligibility
• Dealer disputes
• Credit denials
• Pricing discrepancies
• API outages
• AI errors

Total liability shall not exceed the greater of:

• The amount paid for the specific session, or
• $100

Nothing herein limits liability where prohibited by law.

9. Arbitration & Dispute Resolution

Except where California law requires otherwise, disputes shall be resolved through binding arbitration in Alameda County, California.

Public injunctive relief claims under California consumer statutes may be brought in court as required by law.

You waive the right to participate in class actions to the extent permitted by law.

10. Non-Affiliation

DriveYo is not affiliated with, endorsed by, or sponsored by any specific manufacturer, dealer, or lender unless expressly disclosed.

Dealer names and trademarks are used for identification purposes only.

11. Service Availability & API Disclaimer

DriveYo may rely on third-party APIs and data feeds. We do not guarantee:

• Continuous availability
• Real-time accuracy
• Uninterrupted access

Service interruptions may occur.

12. Beta Features

Certain features may be labeled "Beta" or "Experimental."

These are provided "as-is" without warranty and may be modified or removed at any time.

13. Governing Law

These Terms are governed by the laws of the State of California.

Venue for court proceedings shall be Alameda County, California.

14. Payment Disputes & Chargebacks

If you believe a charge is incorrect, unauthorized, or does not match the service you selected, please contact us first at adminai@driveyo.ai so we can investigate and attempt to resolve the issue.

To help us review quickly, include: your name, email used at checkout, date/amount charged, invoice/receipt (if available), and a brief explanation of the issue.

If a chargeback is filed with your bank/card issuer, we may pause access to the service tied to that transaction while the dispute is reviewed.

We reserve the right to provide relevant transaction records and service logs (if any) to the payment processor and card network for dispute resolution.

15. Refund Policy

If you encounter a billing or technical issue, contact adminai@driveyo.ai. We'll work to fix the issue or provide access to the service you purchased.

Refunds may be issued for duplicate charges, accidental double payments, or verified system errors, and are evaluated case-by-case.

No refunds after access/use: If you enter a VIN and the Platform reveals pricing, payment estimates, incentive results, or other paid outputs, the purchase is considered delivered and refunds will not be provided for that transaction, except where required by law.

Accidental Apple Pay (or wallet) purchases: If an Apple Pay (or other digital wallet) payment was made by mistake but the service has already been used (including entering a VIN and viewing revealed results), the transaction is not eligible for a refund, except where required by law.
